Terms of Service

These terms are an agreement between you and ETLS NORDIC STUDIO AB ("ETLS", "we"), a Swedish company, for the LoQuill application and its bundled and downloadable AI models (together, "LoQuill"). By purchasing a license or using LoQuill you agree to these terms. Purchases are processed by our merchant of record, Polar Software Inc. ("Polar"), whose own terms apply to payment processing.

1. Your license

When you buy LoQuill you get a personal, non-exclusive, non-transferable license to install and use LoQuill on the number of Macs included in your plan:

• Solo — one Mac
• Duo — two Macs
• Trio — three Macs
• Team — the number of seats purchased

Your license key enforces these limits through device activations. You can move an activation to a new Mac when you replace a machine. The purchase is one-time: there is no subscription, and your license does not expire. "Lifetime updates" means we provide app and model updates for as long as LoQuill is offered by ETLS, at no extra charge. This does not limit any statutory right you have to updates under applicable consumer law.

2. Our models are our IP

LoQuill includes proprietary machine-learning models that ETLS has developed and fine-tuned ("the Models"). The Models, their weights, architecture adaptations, tokenizer configurations and packaging are the intellectual property of ETLS and are licensed to you for use only inside the LoQuill application. Except to the extent expressly permitted by mandatory applicable law, you may not:

• extract, copy, move or repackage the Models or their weight files, in whole or in part, out of LoQuill's installation or data directories for any use outside LoQuill;
• publish, upload, share, sell, sublicense, rent or otherwise distribute the Models or any part of them;
• use the Models, their weights, or their outputs to train, fine-tune, distill or otherwise create a competing model or service;
• reverse engineer, decompile or disassemble LoQuill or the Models, or circumvent the license, activation or download protections around them;
• make the Models available to any third party, including by hosting them or bundling them with other software.

The text you dictate and the cleaned-up writing LoQuill produces for you are yours — this section is about the Models themselves, not your content.

Enforcement. Unauthorized extraction, copying or distribution of the Models is copyright infringement and a material breach of this agreement. We take it seriously: we may immediately revoke the license keys involved, and we will pursue the legal remedies available to us, including injunctions and damages, in any competent jurisdiction.

3. License keys

Your license key is for you (or, for Team plans, for your organization's members). Don't publish it or share it beyond your plan. We may revoke keys that are leaked, resold, or used to violate section 2; if we revoke a key for a reason other than your breach, we will replace or refund it.

4. Delivery and right of withdrawal

LoQuill is digital content delivered without a physical medium. Delivery begins when you activate your license and download the app and Models. By requesting immediate delivery at checkout, you expressly consent to delivery beginning right away and acknowledge that you thereby lose your 14-day right of withdrawal under the Swedish Distance Contracts Act (distansavtalslagen, 2005:59) and corresponding EU rules, once the download has begun. If something is wrong with LoQuill, section 6 and your statutory rights still fully apply — and you can always just write to us.

5. Privacy

LoQuill is built so that your audio and your text never leave your Mac. Dictation, transcription and cleanup run entirely on your device. LoQuill connects to the internet only to validate your license key, register device activations, and download models and updates — these requests carry no audio and no dictated text, ever. We do not require an account and we do not collect your content. Payment data is handled by Polar, not by us.

6. Warranty and your statutory rights

We want LoQuill to work brilliantly for you. Nothing in these terms limits the mandatory rights you have as a consumer under applicable law — including the conformity rights for digital content under the Swedish Consumer Sales Act (konsumentköplagen, 2022:260) and corresponding EU rules, such as the right to have faults remedied. If LoQuill doesn't conform, contact us and we will fix it, replace it, or refund you as the law provides.

7. Limitation of liability

Except where mandatory law provides otherwise, and except for damage caused by our gross negligence or intent, our total liability under this agreement is limited to the amount you paid for your LoQuill license. LoQuill requires an Apple Silicon Mac; we are not liable for it not running on unsupported hardware.

8. Termination

This agreement remains in force for as long as you use LoQuill. We may terminate it and revoke your license key if you materially breach it — above all section 2 — and the breach is not something that can be or is remedied. Your statutory rights are unaffected.

9. Changes

We may update these terms for future purchases and, where legally permissible, for existing licenses (for example to reflect new features or legal requirements). Material changes will be announced in the app or on our website. Changes never take away the core of what you bought: a one-time license to use LoQuill on your plan's number of Macs.

10. Governing law and disputes

These terms are governed by Swedish law. Disputes may be brought before the Swedish courts. If you are a consumer, you may also turn to the Swedish National Board for Consumer Disputes (Allmänna reklamationsnämnden, arn.se) or the EU online dispute resolution platform, and you always keep the protection of the mandatory consumer law of your country of residence.
